Please read this Agreement before placing an order on B21. By checking the acceptance box, submitting an order, paying any amount, or continuing with a transaction, you agree to this Agreement.
This Agreement is between HK JINCHENYUN INTERNATIONAL TRADE CO., LIMITED (“B21,” “we,” “us,” or “our”) and the customer placing an order through B21 (“Customer,” “you,” or “your”). B21 provides product sourcing, purchasing coordination, and supply chain support services, including helping customers source products, coordinate suppliers, process orders, and support cross-border fulfillment. Unless otherwise agreed in writing, B21 is not the original manufacturer of the products. B21’s responsibilities are limited to the confirmed order terms, supplier documents, and applicable written agreements.

Product name, specifications, quantity, color, packaging, price, shipping information, and other order details are based on the customer’s order page, unless a more specific order confirmation or invoice is issued by B21.
An order is formed only after the required deposit or initial payment has been received and cleared by B21. Before an order is formed, B21 may reject the order, adjust the quotation, request additional information, or require reconfirmation due to product availability, supplier confirmation, pricing error, shipping feasibility, compliance requirements, or other reasonable business reasons.
You must make payments according to the applicable order page, invoice, order confirmation, and applicable special agreements.
Payment stages, ocean freight, factory release, destination port arrival, customs coordination, local delivery, late payment, refusal, abandonment, and no-reason cancellation/return/exchange restrictions are governed by the Staged Payment and Ocean Freight Fulfillment Agreement.
Membership tiers, payment term eligibility, coupons, and platform benefits are governed by the Membership Tier and Payment Terms Agreement.
If there is any conflict, the more specific order document or special agreement will apply, unless prohibited by law.
Product quality is based on the applicable order confirmation document. B21 will use commercially reasonable efforts to coordinate with the relevant supplier or factory to follow the agreed production schedule, assist with production progress communication, and, where applicable, coordinate reasonable pre-shipment inspection support based on the confirmed order requirements. B21 may, upon availability and subject to supplier/factory cooperation, upload or provide inspection photos, packing photos, carton photos, or other reasonably available fulfillment records to the Customer. You must inspect the products upon receipt.
B21’s coordination, inspection support, or provision of photos or records does not mean that B21 is the manufacturer of the products, nor does it constitute an unconditional guarantee that the products will be free from all defects, hidden defects, manufacturing issues, quantity discrepancies, or compliance issues. Final product responsibility remains subject to the confirmed order terms, supplier documents, applicable written agreements, and the actual products delivered.
If there is any obvious wrong shipment, shortage, visible damage, or material quality issue, you must notify B21 in writing within [48 hours] after receipt and provide supporting materials, including order number, photos, videos, packaging photos, and delivery records.
Submitting an issue report does not mean that any remedy has been approved. If B21 confirms that a remedy is appropriate, B21 may provide replacement shipment, discount credit, credit toward a future order, or another reasonable solution. Customized products are not accepted for return unless required by law or expressly agreed by B21 in writing. No product may be returned without B21’s prior written authorization.
B21 does not knowingly support counterfeit products.
If you provide or specify any logo, artwork, packaging design, trademark, brand element, product style, label, or other material, you are responsible for ensuring that you have the right to use it and for any related intellectual property risk or loss.
You are responsible for confirming whether the products are suitable for your sales territory, sales channel, and intended use. B21 may help coordinate available export-related certificates or supplier documents, but does not guarantee that every product will have all certificates, registrations, tests, or compliance documents required in your market unless expressly agreed in writing.
Unless the applicable order document states otherwise, title to the products and risk of loss transfer to you after B21 has received and cleared the final balance and all amounts due under the relevant order.
You confirm that all information provided to B21 is true, accurate, and complete. You must not place false orders, delay payment, refuse delivery without reason, abuse coupons, exploit system errors, disrupt transactions, or refuse to cooperate with customs, delivery, or order fulfillment.
If your breach of this Agreement, any order document, or any special agreement causes loss to B21, you are responsible for such loss.
To the extent permitted by law, B21’s total liability for any order will not exceed the amount actually paid by you for that order, except for liability that cannot be limited by law. To the extent permitted by law, B21 will not be liable for indirect damages, loss of profits, loss of business opportunity, loss of goodwill, or third-party claims, except where required by law.
By checking the acceptance box, submitting an order, making payment, or continuing the transaction, you electronically accept this Agreement. B21 may keep order records, payment records, logistics records, platform messages, emails, checkbox records, IP addresses, agreement version records, and other electronic records as evidence.
This Agreement and any dispute arising from or related to this Agreement, any order, purchase relationship, product issue, electronic acceptance, or related transaction document will be governed by the laws of the State of New York.
To the extent permitted by law, the state and federal courts located in New York County, New York will have exclusive jurisdiction. You agree to submit to the personal jurisdiction of those courts.
B21 may update this Agreement from time to time. The updated version will become effective when published on the platform. For orders already formed but not fully performed, the version accepted at the time of order placement will generally apply, unless otherwise permitted by law or confirmed by you. If there is any inconsistency between the English version and any other language version, the version actually accepted by you at the time of order placement will prevail. If you accept the English version, the English version will prevail.
